Creator Agreement

1. Introduction

This Creator Agreement ("Agreement") governs your participation in the Haroo Chat Creator Program. By creating and publishing AI personalities on our platform, you agree to the terms outlined in this Agreement, in addition to our Terms of Service and Content Policy. Please note that creator monetization features are currently not available.

This Agreement constitutes a legally binding contract between you ("Creator", "you") and Haroo Chat ("we", "us", "our"), a company registered in the Czech Republic.

2. Creator Eligibility

To participate in the Creator Program, you must:

• Be at least 18 years old
• Have a verified Haroo Chat account in good standing
• Comply with all applicable laws and regulations
• Accept and adhere to this Creator Agreement
• Maintain accurate contact and payment information
• Not have been previously banned or suspended from the Creator Program

3. Creator Recognition

3.1 Creator Benefits

Creators receive recognition and benefits for building popular AI personalities:

• Creator attribution on all personalities you create
• Usage statistics showing how many users interact with your personalities
• Featured placement for popular and high-quality personalities
• Creator profile showcasing your collection of personalities

3.2 Monetization Status

Direct creator monetization (commissions, revenue sharing) is not currently available on the platform. We may introduce monetization features in the future, and active creators will be notified of any such opportunities.

4. Creator Analytics and Insights

4.1 Usage Statistics

• Track how many users interact with your personalities
• View engagement metrics and popularity trends
• Receive feedback through ratings and user interactions

4.2 Creator Dashboard

• Access analytics in real-time via the Creator Dashboard
• View historical data for all your personalities
• Monitor personality performance and user engagement

5. Creator Responsibilities

5.1 Content Quality Standards

As a creator, you are responsible for ensuring your AI personalities:

• Have meaningful, well-written descriptions (minimum 50 characters)
• Include accurate personality traits and characteristics
• Are properly labeled (NSFW content must be flagged)
• Comply with our Content Policy
• Provide a positive user experience
• Are original creations or properly licensed content

5.2 Compliance

• Adhere to all platform policies and guidelines
• Respond to moderation requests within 48 hours
• Update personalities promptly if policy violations are identified
• Do not create content that violates Czech or EU law
• Accurately label NSFW content to prevent underage access

5.3 Prohibited Activities

Creators must not:

• Create personalities designed to manipulate or deceive users
• Engage in artificial inflation of interaction metrics
• Create personalities that impersonate real individuals without consent
• Use bots or automated systems to generate commissions
• Create low-quality or spam personalities
• Share account credentials to circumvent self-interaction restrictions

6. Intellectual Property Rights

6.1 Creator Ownership

You retain ownership of AI characters you create, including:

• Personality names, descriptions, and traits
• Avatars and images you upload (if you own the rights)
• Original character concepts and designs

6.2 License to Haroo Chat

By publishing a personality on our platform, you grant Haroo Chat a:

• Worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your personalities
• Right to modify or adapt personalities for technical compatibility
• Right to feature your personalities in marketing and promotional materials
• License to sublicense to users for their personal use on the platform

This license remains in effect while your personality is published on the platform and terminates when you delete the personality or close your account.

6.3 Creator Representations

By creating and publishing content, you represent and warrant that:

• You own all rights to the content or have obtained necessary licenses
• Your content does not infringe on any third-party intellectual property rights
• You have the authority to grant the license described above
• Your content complies with all applicable laws

6.4 AI-Generated Content

Chat messages generated by AI characters are created dynamically. Neither creators nor Haroo Chat claim ownership of AI-generated conversational responses in user chats. Users may use their chat conversations for personal purposes.

7. Personality Moderation and Removal

7.1 Right to Remove

We reserve the right to remove personalities that:

• Violate our Content Policy
• Infringe on intellectual property rights
• Generate excessive user complaints or reports
• Pose safety, legal, or reputational risks
• Are inactive or abandoned for extended periods

7.2 Moderation Process

• For non-urgent violations, we will notify you and allow 48 hours to address the issue
• For serious violations (illegal content, safety risks), we may remove content immediately
• You will receive a notification explaining the reason for removal
• You may appeal moderation decisions to info@click-click.cz

7.3 Voluntary Deletion

You may delete your personalities at any time through the Creator Dashboard. Deletion is permanent and cannot be undone. Existing chats with deleted personalities will remain accessible to users.

8. Future Monetization

8.1 Potential Monetization Features

We may introduce creator monetization in the future, which could include:

• Revenue sharing programs based on personality usage
• Direct tipping or support from users
• Premium personality features and customization
• Creator subscription tiers with exclusive benefits

8.2 Notification of Changes

If monetization features are introduced, we will notify all creators via email and update this agreement with specific terms, including payment structures, tax obligations, and eligibility requirements.

9. Content Quality and Moderation

9.1 Quality Standards

All personalities must meet platform quality standards:

• Well-written descriptions and personality traits
• Appropriate and accurate NSFW labeling
• Original content that respects intellectual property rights
• Compliance with all platform policies and community guidelines

9.2 Content Review

We reserve the right to review and moderate personalities. Creators should respond promptly to moderation requests and update content as needed to maintain compliance with platform policies.

10. Account Standing and Penalties

10.1 Warnings

Minor violations of this Agreement may result in formal warnings. Repeated warnings may lead to suspension or termination.

10.2 Suspension

Serious or repeated violations may result in temporary suspension from the Creator Program:

• Duration: 7 to 90 days depending on severity
• Your personalities will be hidden during suspension
• You will not earn commissions during suspension
• Reinstatement requires acknowledgment of violations and commitment to compliance

10.3 Termination

Your participation in the Creator Program may be terminated for:

• Egregious violations of this Agreement or platform policies
• Illegal activity or content
• Repeated policy violations after warnings and suspensions
• Fraud or abuse of the platform
• Failure to respond to moderation requests

Upon termination, you lose access to the Creator Program and your personalities may be hidden or removed. You may appeal termination decisions to info@click-click.cz.

11. Voluntary Termination

You may voluntarily leave the Creator Program at any time:

• Delete your personalities via the Creator Dashboard
• Contact info@click-click.cz to close your creator account
• Existing user chats with your personalities will remain accessible
• You may rejoin the Creator Program in the future if eligible

12. Disclaimers

12.1 No Guarantee of Earnings

Haroo Chat does not guarantee any level of earnings, traffic, or success in the Creator Program. Earnings depend on user engagement, content quality, and market factors beyond our control.

12.2 Platform Changes

We reserve the right to modify, suspend, or discontinue the Creator Program, commission structure, or platform features at any time with reasonable notice.

12.3 No Employment Relationship

This Agreement does not create an employment, partnership, or agency relationship. You are an independent creator and are responsible for your own taxes, insurance, and business obligations.

13. Limitation of Liability

To the maximum extent permitted by Czech and EU law:

• Haroo Chat is not liable for lost earnings, data, or opportunities
• Our total liability is limited to the value of services provided in the 12 months prior to the claim
• We are not liable for user behavior, AI-generated content, or third-party services
• Nothing in this Agreement limits liability for fraud, gross negligence, or violations of mandatory consumer rights

14. Changes to This Agreement

We may modify this Creator Agreement with 30 days advance notice via email or platform notification. Material changes (such as commission rate adjustments) will include a clear explanation. Continued participation in the Creator Program after changes take effect constitutes acceptance.

15. Governing Law and Disputes

15.1 Governing Law

This Agreement is governed by the laws of the Czech Republic and the European Union. Any disputes will be resolved in Czech courts with jurisdiction over our registered address.

15.2 Dispute Resolution

Before pursuing formal legal action, please contact info@click-click.cz to resolve disputes informally. We are committed to finding fair solutions.
